3. TERMS & CONDITIONS
3.1 Scope
These Terms & Conditions (“Terms”) apply to services provided by DKH Productions GmbH (“DKH”, “we”, “us”), including:
-
photography;
-
video and film production;
-
creative production;
-
private dance, movement and creative coaching; and
-
related services.
They apply together with the individual quotation, offer, booking confirmation or service agreement for a specific project (“Project Agreement”).
If the Project Agreement contains provisions that differ from these Terms, the specific provisions of the Project Agreement take precedence.
3.2 Booking and Contract Formation
A project becomes binding when the Client accepts DKH's quotation or offer, confirms the booking in writing, or otherwise expressly agrees to proceed.
For projects arranged through individual communication, including email, the agreement may be concluded through that communication.
If DKH introduces direct online purchasing or booking for a service, the applicable online ordering process will also apply.
3.3 Services and Scope
The exact scope of each project is agreed individually.
This may include the service, date, location, number of sessions, deliverables, editing, deadlines, usage rights and price.
Work outside the agreed scope may be charged separately.
3.4 Prices and Payment
Prices are agreed individually unless a current price is expressly published by DKH.
Unless otherwise agreed:
-
invoices are payable within the payment period stated on the invoice;
-
deposits or advance payments must be paid before the relevant work begins where applicable;
-
additional work or approved expenses may be invoiced separately.
Travel, accommodation, location fees, permits, equipment rental, specialist services and other third-party costs may be charged separately where they are not included in the agreed price.
3.5 Cancellation and Rescheduling
Photography and video production bookings involve the reservation of dates, equipment, personnel and production resources.
If the Client cancels or substantially postpones a project, DKH may charge for work already performed and non-refundable costs already incurred.
Where specific cancellation terms have been agreed in the Project Agreement, those terms apply.
For private coaching, appointments cancelled or rescheduled with less than 48 hours' notice may be charged in full unless otherwise agreed.
DKH will make reasonable efforts to accommodate rescheduling requests but cannot guarantee availability of the original date.
3.6 Photography and Video Production
DKH will provide photography and video services with reasonable professional care and according to the agreed creative and technical scope.
Creative decisions regarding composition, framing, editing, colour grading, selection of material and artistic treatment remain with DKH unless otherwise agreed.
Unless explicitly included, delivery of RAW files, source footage, project files, editing timelines or other production files is not included.
Unless otherwise agreed, DKH determines which photographs or footage are selected for final delivery.
3.7 Revisions
The agreed number of revisions, if any, is specified in the Project Agreement.
Additional revisions or changes requested after approval may be charged separately.
Once final deliverables have been approved, further changes may be treated as additional work.
4. INTELLECTUAL PROPERTY & COPYRIGHT
4.1 DKH Creative Work
All copyright and other intellectual-property rights in works created by DKH remain with the respective rights holder unless expressly transferred in writing.
This may include:
-
photographs;
-
films and videos;
-
video footage;
-
edits;
-
graphics;
-
animations;
-
written material;
-
choreography;
-
creative direction;
-
treatments;
-
scripts;
-
storyboards;
-
visual concepts;
-
production concepts;
-
educational material;
-
coaching material; and
-
other original creative work.
Payment for a service does not, by itself, transfer copyright or other intellectual-property rights.
4.2 Client Licence
Unless otherwise agreed in writing, the Client receives a non-exclusive licence to use the final delivered work for the purposes and within the scope agreed in the Project Agreement.
The licence may be limited by purpose, medium, territory, duration, platform or other agreed conditions.
Use outside the agreed licence requires prior written permission from DKH.
This includes, where applicable, resale, sublicensing, commercial redistribution, use in a new advertising campaign, transfer to third parties or use in a substantially different context.
4.3 Source Files
Delivery of photographs, videos or other files does not transfer ownership of RAW files, source footage, project files, editing files, working files, templates or other underlying production material unless expressly agreed.
4.4 Creative Concepts
The Client may not reproduce, sell, distribute, commercially exploit or otherwise reuse DKH's treatments, storyboards, visual approaches, production concepts or other proprietary creative material outside the agreed project without prior written permission.
4.5 Coaching and Educational Material
Exercises, training structures, teaching materials, written material, videos, demonstrations, programmes and other materials provided by DKH as part of coaching remain the property of DKH or the relevant rights holder.
They are provided for personal use unless otherwise agreed.
The Client may not copy, record, reproduce, distribute, publish, resell, teach, licence or commercially exploit these materials without prior written permission.
4.6 Client-Supplied Material
The Client confirms that they have the necessary rights and permissions for photographs, footage, music, logos, text, trademarks and other material supplied to DKH.
The Client grants DKH the necessary permission to use such material for the agreed project.
The Client is responsible for claims arising from material supplied by the Client where the Client did not have the necessary rights or permissions.
4.7 Third-Party Material
Where third-party material is used, including music, stock footage, photographs, fonts, software, locations or other protected material, its use may be subject to separate licences or restrictions.
DKH will obtain or use such rights where this forms part of the agreed scope.
4.8 Portfolio and Promotional Use
Unless otherwise agreed in writing, DKH may use completed photographs, films and other project work created by DKH for its own portfolio, website, showreel, awards, presentations, social media and promotional activities.
Where additional consent is required from persons depicted, performers, models or other rights holders, the applicable permissions will be obtained where this responsibility has been agreed with DKH.
Confidentiality or an embargo on publication must be agreed in writing.
4.9 DKH Website and Brand
All original content published by DKH on its website or DKH-owned platforms, including photographs, films, videos, text, graphics, branding, logos, choreography and educational material, belongs to DKH or the relevant rights holder unless otherwise stated.
Such material may not be copied, reproduced, modified, distributed, republished, sold or commercially exploited without permission.
5. PRIVATE COACHING
Private coaching may involve dance, movement, fitness, strength, mobility or related physical activities.
The Client is responsible for informing DKH of any relevant limitations or circumstances that could affect safe participation.
Coaching is not medical treatment, physiotherapy, diagnosis or medical advice.
The Client participates voluntarily and should stop an exercise if they experience pain, dizziness, unusual discomfort or other concerning symptoms.
DKH does not guarantee a particular physical, artistic or professional result from coaching.
The Client is responsible for determining whether they are physically able to participate and should seek appropriate professional medical advice where necessary.
DKH may modify, postpone or stop an activity where reasonably necessary for safety.
6. EVENTS, LOCATIONS AND PRODUCTION CONDITIONS
Where photography or video production takes place at a location controlled by the Client or a third party, the Client is responsible for providing DKH with reasonable access and any permissions that the Client has agreed to obtain.
The Client must inform DKH of relevant location restrictions, safety requirements and production conditions.
Delays caused by circumstances outside DKH's reasonable control may affect delivery times.
7. FORCE MAJEURE
DKH is not responsible for delays or inability to perform caused by circumstances beyond its reasonable control, including serious illness, accident, extreme weather, natural events, transport disruptions, governmental restrictions, technical failures or other comparable circumstances.
The parties will seek a reasonable alternative solution where possible.
8. DELIVERY AND DATA STORAGE
Final deliverables will be provided using the method and within the timeframe agreed for the project.
Unless otherwise agreed, DKH is not required to retain RAW files or project files indefinitely after final delivery.
The Client is responsible for downloading and safely storing delivered files.
9. LIABILITY
DKH is liable for damage caused by intentional or grossly negligent conduct in accordance with applicable Swiss law.
To the extent permitted by law, DKH is not liable for indirect or consequential loss, loss of profit, loss of business opportunities or loss resulting from the Client's misuse of delivered material.
Nothing in these Terms excludes liability that cannot legally be excluded under Swiss law.
10. CONFIDENTIALITY
Each party shall treat confidential information received from the other party in connection with a project with reasonable confidentiality.
Confidential information may be disclosed where necessary to perform the agreed services or where required by law.
Information that is already publicly available or independently obtained without breach of confidentiality is not considered confidential.
11. CHANGES TO SERVICES
DKH may update or modify its services, website and service offerings from time to time.
Changes do not affect services already agreed unless the parties agree otherwise.
12. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect.
The invalid provision shall, where legally possible, be replaced by a valid provision that comes as close as possible to the original purpose.
13. APPLICABLE LAW AND JURISDICTION
These Terms are governed by Swiss law.
Subject to mandatory statutory jurisdiction, the courts at the registered office of DKH Productions GmbH shall have jurisdiction over disputes arising from these Terms or services provided by DKH.
